The Dominican Republic has flexible and business-friendly corporate law. Dominican companies can be attractive for both local investments and international or offshore type business. Probably one of the major advantages, in fact, is that the country is not seen as a tax haven, but - just like in Panama, for example - local companies do not pay tax on their income from overseas.

A further attractive feature is the Personal Residence aspect for executives of the company. If your business is international or internet based, you can live in the Dominican Republic, run your worldwide business, and qualify for a second passport after as little as three years of official residence.

Getting back to company formation, The most common corporate form is the regular company or compañia por acciones which is abbreviated to either C. x A. or S.A.

Some of the attractive features are:

    *      No minimum capital requirement
    *      Very strong limited liability of shareholders
    *      Shares may be registered or in bearer form

All Dominican companies must register for a tax number, which will be necessary for doing business in the country, opening bank accounts etc. Physical presence of the signatories is necessary for this and to establish bank accounts (however, it is also possible to open accounts off the island with no need to travel.)

Incorporation requires a minimum of seven shareholders, but it is common to use nominees for this purpose. When incorporating companies for clients we do provide nominee service.

Typical timescale for incorporation and all necessary formation procedures, obtaining tax number etc is 4-6 weeks.
